What is a Deed of Confidentially Template?

Deed polls are a unique type of binding legal document in that it only requires one party. Deed polls work to bind a singular party to an active intention – this binding intention requires the individual to follow a particular course of action. Therefore, a confidentiality deed poll is a deed poll that binds an individual to maintain confidentiality regarding certain topics, information and media.

A confidentiality deed poll is most commonly used in working situations. As such, it can be used to strengthen an agreement between two or more parties. For example, in the case of a workplace confidentiality agreement, if one party breaches confidence, then the disclosing party may be able to use the deed poll as evidence of an agreement which can then be enforced.

A confidentiality deed poll and a confidentiality agreement are typically very similar in contents and functionality. The primary differentiating factor is that a deed does not require money (i.e. consideration) from a party in exchange for the promise to keep particular information confidential. In general, consideration is given in agreements or contracts to signify to both parties that one party has ‘bought’ the promise. Conversely, a deed is in of itself an indication that the parties intend to be legally bound.
